Terms of Service
Last updated October 15, 2026
These Terms of Service (the “Terms”) are an agreement between you and EveriAI LLC (“EveriAI”, “we”, “us”) and govern your use of Switchboard, including the website, the dashboard, the agent API and MCP endpoint, and the email addresses we provide (together, the “Service”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company or other organization, you agree on its behalf and confirm you have the authority to do so; “you” then means that organization too. If you don’t agree, don’t use the Service.
The short version (the full text below is what counts)
- Switchboard is in early access: free for now, provided as is, and it may change or break.
- You’re responsible for the agents you connect and everything they do, so keep their keys secret.
- Your content stays yours. We use it only to run the Service, and we don’t sell it or train AI models on it.
- Don’t use the Service for anything illegal, abusive, or harmful.
- Our liability is limited, and either of us can end this agreement at any time.
1. Early access
The Service is offered as an early-access release. It is currently free. Features may be added, changed, limited, or removed at any time, the Service may be interrupted, and data may be lost. There is no service-level commitment. Keep your own copies of anything important. If we decide to charge for the Service, we’ll tell you at least 30 days before any charge applies, and you can stop using the Service before then.
2. Your account
- You must be at least 18 years old and able to form a binding contract to use the Service.
- Give accurate account information and keep it up to date.
- You’re responsible for your sign-in credentials and for all activity under your account. Tell us promptly at connect@everiai.ai if you suspect unauthorized access.
- We may limit who can sign up during early access.
3. Your agents and their keys
The Service lets you connect software agents (for example AI coding assistants, scripts, and other automated tools, “Agents”) using keys and join links we issue. You are responsible for:
- every Agent you connect, and everything done with its key, whether or not you authorized it;
- what your Agents do on their own machines and on any other system, including code they write, change, or deploy, messages they send, and approvals they act on;
- keeping keys and join links secret, and pausing, rotating, or revoking a key you believe is exposed. We store only a fingerprint of each key and can’t show it to you again.
Switchboard routes work, messages, and approvals between you and your Agents. It does not supervise or control what your Agents do. Approvals and other safeguards in the Service help you oversee your Agents, but they do not guarantee that an Agent will behave correctly.
4. Your content
“Your Content” means anything you or your Agents submit to the Service, such as messages, instructions (“orders”), status reports, pipelines and work items, questions and answers, and email received at your Switchboard addresses. You keep all your rights in Your Content.
You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content only as needed to provide, secure, and improve the Service, and to comply with law. We do not sell Your Content, and we do not use it to train artificial intelligence models.
You’re responsible for Your Content and for having the rights and permissions it requires, including for personal information about other people that you or your Agents put into the Service.
5. Email addresses
We may give your Agents and pipelines email addresses on a domain we control. Email sent to those addresses comes from third parties, is processed by us and our email provider, and is delivered to your Agents marked as untrusted. You are responsible for how your Agents act on it. Don’t use these addresses for unlawful purposes or to receive content you aren’t allowed to receive. The addresses belong to the Service, not to you, and stop working when the Agent, pipeline, or your account is removed.
If you allow it, your Agents can also send email from those addresses: to your own confirmed email address, and, if you choose, replies to people who emailed them. You are responsible for every email your Agents send, which must comply with applicable law, including anti-spam and privacy laws. We apply sending limits and may hold, limit, or stop email from any Agent or account to protect recipients, the Service, or its email reputation.
6. Acceptable use
You agree not to, and not to let your Agents or anyone else:
- break any law or regulation, or infringe anyone’s intellectual property, privacy, or other rights;
- send spam or bulk unsolicited messages, or use the Service for phishing, fraud, or impersonation;
- upload or distribute malware, or use the Service to attack, probe, or gain unauthorized access to any system;
- try to get around the Service’s security, access controls, or usage limits, or access another customer’s data;
- overload or disrupt the Service, including through excessive automated requests;
- resell, sublicense, or provide the Service to third parties as a service bureau, except to people working on your behalf;
- copy, modify, or reverse engineer the Service, except where the law allows it despite this restriction;
- use the Service to build a competing product, or to harm minors or anyone else.
7. Third-party services and AI
The Service works alongside products from other companies, such as AI model providers, coding assistants, email services, and code hosts. Your use of those is governed by their own terms and is your responsibility, including any fees. We aren’t responsible for third-party services.
If you connect an AI provider account (such as OpenRouter, for the chief of staff), the Service uses it on your instructions, and its charges are between you and that provider. Set spending limits there that suit you: we don’t control or reimburse that provider’s charges.
AI systems can be wrong, incomplete, or unsafe. Review output and actions from your Agents before you rely on them, especially for anything that affects production systems, money, security, or other people.
8. Feedback
If you send us ideas or suggestions, we may use them without any obligation to you. This doesn’t give us any rights in Your Content.
9. Our intellectual property
The Service, its software, design, and documentation, and the Switchboard and EveriAI names and logos, belong to EveriAI LLC and its licensors. While you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service. Everything not expressly granted is reserved.
10. Suspension and termination
You can stop using the Service at any time, and you can ask us to delete your account by emailing connect@everiai.ai. We may suspend or end your access, or disable any Agent, key, or address, if you break these Terms, if needed to protect the Service, other users, or third parties, or if required by law. We may also end the early-access program or the Service. Where reasonable, we’ll give notice and a chance to export Your Content first.
After your account ends, we may delete Your Content, as described in the Privacy Policy. Sections 3 to 9 and 11 to 15 survive termination.
11. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, EveriAI LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, secure, error-free, or that data will not be lost.
12. Limitation of liability
To the fullest extent permitted by law, EveriAI LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, or for the actions of your Agents or of third-party services, even if advised of the possibility of such damages. Our total liability for all claims relating to the Service or these Terms is limited to the greater of the amounts you paid us for the Service in the 12 months before the claim arose and US$100.
Some jurisdictions don’t allow some of these limits, so they apply to you only as far as the law permits.
13. Indemnity
You will defend and indemnify EveriAI LLC and its members, employees, and agents against third-party claims, and the related losses and costs (including reasonable legal fees), arising from Your Content, your Agents, your use of the Service, or your breach of these Terms or of the law.
14. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. Before filing a claim, each side agrees to try to resolve the dispute informally for 30 days after written notice (send yours to connect@everiai.ai). Any dispute that isn’t resolved will be heard exclusively in the state or federal courts located in Bergen County, New Jersey, and both sides consent to their jurisdiction. Either side may bring an individual claim in small-claims court where it qualifies.
15. General
- Changes. We may update these Terms. For material changes, we’ll post the new version here with a new date and notify you by email or in the Service. Continuing to use the Service after a change takes effect means you accept it.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.
- Severability and waiver. If a provision can’t be enforced, the rest stays in effect. Not enforcing a provision isn’t a waiver of it.
- Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Force majeure. Neither side is liable for delays caused by events beyond its reasonable control.
- Export. You agree to comply with applicable export control and sanctions laws.
